0 THIS AGREEMENT is made by and between WILLIAM C. FUNSTON
and SHEILA J. FUNSTON, husband and wife ("Grantor"), and,BRUCE
M. OINEILL and KATHERINE J. OINEILL, husband and wife
("Grantee"). Grantor is the legal owner of that certain prop-
erty more particularly described on Exhibit A, a copy of which
is attached hereto and incorporated herein by reference (the
"Property"). Grantee desires an easement over a portion of the
Property for purposes of installing, constructing and maintain-
ing a certain pipe, which will service an area adjacent to the
Property. Grantor desires to grant Grantee such an easement.
In consideration of the mutual covenants contained herein
and for other valuable consideration, the receipt of which is
hereby acknowledged, the parties hereby agree:
1. Grant of Easement and Purpose. Grantor hereby grants
to Grantee an easement with respect to that portion of the
Property more particularly described on Exhibit B, a copy of
which is attached hereto and incorporated herein by reference
(the "Easement Area") for the purposes of installing, con-
structing, repairing, maintaining and replacing a pipe (the
"Pipe") that will assist in the draining of surface water.that
may collect on the property more particularly described on
Exhibit C, a copy of which is attached hereto and incorporated
herein by reference (the "O'Neill Property"). Grantee shall
also have a right of ingress and egress onto the Easement Area
for the accomplishment of such purposes. Grantee shall be
exercised only to the extent they are reasonably necessary for
accomplishment of the above stated purposes. Grantee shall
exercise its easement rights so as not to interfere
unreasonably with Grantor's use of the Easement Area. Such
easement shall run with the land and encumber the Property and
shall be for the benefit of the O'Neill Property.
2. Duti�s of Grantee. Grantee agrees that it will be
solely liable for the cost of installing, constructing, repair-
ing, maintaining and replacing the Pipe.
3. Indemnification. Grantee hereby agrees to indemnify
Grantor against and to hold Grantor harmless from all claims,
liability, damages and costs, including attorney fees, incurred
by Grantor and arising from the negligent acts, errors, or
omissions by Grantee, its employees or agents, with respect to
the exercise of easement rights hereunder. Grantor hereby
agrees to indemnify Grantee against and to hold Grantee harm-
less from all claims,, liability, damages and costs, including

attorney fees, incurred by Grantee and arising from the

employees or agents, with respect to their use of the Easement

4. AttornAy _Fees. If a party commences a legal proceed-
ing with or without suit to enforce its rights hereunder, the
prevailing party at such proceeding shall be entitled to its
costs and reasonable attorneys' fees incurred during such pro-
ceedings.
5. Governina Law. The terms of this Agreement shall be
construed in accordance with and governed by the laws of the
state of Washington.
6. Venue - . In the event any suit or action shall be
brought in connection with any of the terms and conditions of
this Agreement, the parties hereby agree that jurisdiction and
venue of such suit or action shall properly lie in Snohomish
dounty, State of Washington.
7. 5eyerability. In the event that any section, or any
part of any section, or this Agreement shall be declared
invalid by a court of competent jurisdiction, said holding
shall have not effect upon the remaining sections, of this
Agreement, which shall remain in full force and effect.
8. Entirety. This Agreement constitutes the entire
agreement and understanding between the parties hereto. There
are no other agreements or understandings, either written or
oral, which modify or have any effect upon this Agreement.

THIS AGREEMENT is made by and between WILLIAM C. FUNSTON
and SHEILA J. FUNSTON, husband and wife ("Grantor"), and.BRUCE
M. OINEILL and KATHERINE J. OINEILL, husband and wife
("Grantee"). Grantor is the legal owner of that certain prop-
�rty more particularly described on Exhibit A, a copy of which
is attached hereto and incorporated herein by reference (the
"Property"). Grantee desires an easement over a portion of the
Property for purposes of installing, constructing and maintain-
ing a certain pipe, which will service an area adjacent to the
Property. Grantor desires to grant Grantee such an easement.
In consideration of the mutual covenants contained herein
and for other valuable consideration, the receipt of which is
hereby acknowledged, the parties hereby agree:
1. Grant of Easement and Purpose. Grantor hereby grants
to Grantee an easement with respect to that portion of the
Property more particularly described on Exhibit B, a copy of
which is attached hereto and incorporated herein by reference
(the "Easement Area") for the purposes of installing, con-
structing, repairing, maintaining and replacing a pipe (the
,*Pipe") that will assist in the draining of surface water that
may collect on the property more particularly described on
Exhibit C, a copy of which is attached hereto and incorporated
herein by reference (the "O'Neill Property"). Grantee shall
also have a right of ingress and egress onto the Easement Area
for the accomplishment of such purposes. Grantee shall be
exercised only to the extent they are reasonably necessary for
accomplishment of the above stated purposes. Grantee shall
exercise its easement rights so as not to interfere
unreasonably with Grantor's use of the Easement Area. Such
easement shall run with the land and encumber the Property and
shall be for the benefit of the O'Neill Property.
2. Duties of Grantee. Grantee agrees that it will be
solely liable for the cost of installing, constructing, repair-
ing, maintaining and replacing the Pipe.
3. indeinification. Grantee hereby agrees to indemnify
Grantor against and to hold Grantor harmless from all claims,
liability, damages and costs, including attorney fees, incurred
by Grantor and arising from the negligent acts, errors, or
omissions by Grantee, its employees or agents, with respect to
the exercise of easement rights hereunder. Grantor hereby
agrees to indemnify Grantee against and to hold Grantee harm-
less from all claims, liability, damages and costs, including

attorney fees, incurred by Grantee and arising from the
negligent acts, errors, or omissions by Grantor, their
employees or agents, with respect to their use of the Easement
Area.
4. Attorngy _Fees. If a party commences a legal proceed-
ing with or without suit to enforce its rights hereunder, the
prevailing party at such proceeding shall be entitled to its
Costs and reasonable attorneys' fees incurred during,such pro-
ceedings.
S. GoverniDcj_Law. The terms of this Agreement shall be
construed in accordance with and governed by the laws of the
state of Washington.
6. Venue. In the event any suit or action shall be
brought in connection with any of the'terms and conditions of
this Agreement, the parties hereby agree that jurisdiction and
venue of such suit or action shall properly lie in Snohomish
County, State of Washington.

part of any section, or this Agreement shall be declared
invalid by a court of competent jurisdiction, said holding
shall have not effect upon the remaining sections, of this
Agreement, which shall remain in full force and effect.
8. gnLirety-. This Agreement constitutes the entire
agreement and understanding between the parties hereto. There
are no other agreements or understandings, either written or
oral, which modify or have any effect upon this Agreement.
