GENERAL CRITICAL AREAS REPORT REQUIREMENTS Critical Areas Reports identify, classify, and delineate any areas on or adjacent to the subject property that may qualify as critical areas. They also assess these areas and identify any potential impacts resulting from your specific development proposal. If a specific development proposal results in an alteration to a critical area, the critical areas report will also contain a mitigation plan. You have the option of completing the portion of the study that classifies and delineates the critical areas and waiting until you have a specific development proposal to complete the study. You may also choose to submit the entire study with your specific development application. Please review the minimum report requirements for all types of Critical Areas that are listed in ECDC 23.40.090.D. WITNESSETH: WHEREAS, Northwest is the owner of real property located in Edmonds, Washington, more particularly described on Exhibit A attached hereto (the "Northwest Parcel"); and WHEREAS, Northwest is in the process of platting the Northwest Parcel with the plat name of Olympic View Crest; and WHEREAS, Hekkanen is the owner of the real property located in Edmonds, Washington which lies adjacent to the Northwest Parcel and which is more particularly described below: Hekkanen Parcel The West 115 ft. of the North 175 ft. of the NE quarter of the NE quarter of the NW quarter of Section 17, Township 27 North, Range 4 East, W.M., Snohomish County, Washington; and WHEREAS, Northwest desires to. use a portion of the Hekkanen Parcel (the "Easement Parcel") as legally described on the attached Exhibit B and as depicted on Exhibit Q for side sewer purposes for the benefit of a portion of the Northwest Parcel to be known as "Lot 1" of Olympic View Crest and for the benefit of the Hekkanen Parcel, and Hekkanen is agreeable to allowing such use subject to this Agreement NOW, THEREFORE, I — SEWER EASEMENT AGREEMENT 6952 OOD4 0310228 AGREEMENT For and in consideration of the covenants contained in this Agreement and other good and valuable consideration, the -receipt and sufficiency of which are hereby acknowledged, the following grants, agreements, covenants and restrictions are made: 1. Easement for Side Sewer. Hekkanen hereby grants and conveys to Northwest, its successors and/or assignors, a non-exclusive easement to utilize the Easement Parcel for side sewer purposes and to maintain such area in accordance with this Agreement under a portion of the Hekkanen Parcel as described on Exhibit.B. 2. Easement for Development. Hekkanen hereby grants and conveys to Northwest and to Northwest's agents, employees, contractors, successors and assigns, the right to construct and install a side sewer under the Easement Parcel TNhLbit B) for the benefit of both the Hekkanen and Northwest Parcels. Northwest further covenants and agrees that it shall construct said side sewer in a timely, reasonable and workmanlike manner and shall restore any portion of the Hekkanen Parcel which may be disturbed to at least as good a condition as it was in prior to the commencement of construction. In no event shall construction of said side sewer take more than thirty (30) days from commencement of construction activity to completion and restoration. 3. Maintenance/Taxes. 3.1 . Northwest covenants and agrees during the term of this Agreement to maintain in good condition and repair the side sewer and any appurtenances thereto at their sole cost and expense. 3.2 Hekkanen covenants to pay 'all real estate taxes associated with the Easement Parcel. 3.3 If either party defaults in the performance of any obligations under this Agreement and if, at the end of thirty days after the date of notice from the non -defaulting party described in such default, and the defaulting party has failed to cure such default . and if a diligent th effort is not then being made to cure such default, then the non -defaulting party shall have e right to perform such obligation on behalf of the defaulting party and to be reimbursed by the de . faulting party for the reasonable costs therefore. Notwithstanding the foregoing, if a default in any of the maintenance obligations under subsection 3.1 above represents an actual and substantial threat to the public health or safety, Hekkanen, with such notice to Northwest as may be reasonable under the circumstances, shall have the right to perform such obligation to the extent necessary to eliminate such threat and to be reimbursed therefore in the manner provided herein. 2 — SEWER EASENIENT AGREENIENT 69520004 0310228 6. 4. Indemnification. 4.1 Northwest shall indemnify, defend and hold Hekkanen, its successors and assigns, harmless against all claims, demands, losses, damages, liabilities, expenses and all suits, actions and judgments (including reasonable attorneys fees) arising out of Northwest's use of the Easement Parcel unless such claim, demand, loss, damage, liability or expense arose from the negligence or intentional misconduct of Hekkanen. - Hekkanen shall give Northwest prompt and timely notice of any claim made, suit or action commenced in which Hekkanen, in any way, would result in an indemnification under this Agreement. 4.2 Hekkanen shall indemnify, defend.and hold Northwest, its successors and assigns, harmless against all claims, demands, losses, damages, liabilities, expenses and all suits, actions and judgments (including reasonable attorneys fees) arising out of Hekkanen's use of the Easement Parcel unless such claim, demand, loss ' damage, liability or expense arose from the negligence or intentional misconduct of Northwest. Northwest shall give Hekkanen prompt and timely notice of any claim made, suit or action commenced in which Northwest, in any way, would result in an indemnification under this Agreement. 5. Covenant Running With the Land. The rights contained within this Agreement shall run with the properties described herein and shall inure to the benefit of and be binding upon Hekkanen, their successors and assigns, and Northwest and its successors and assigns. 6. Tenn. The term of this Agreement and the easements granted hereby C'Term") shall commence on the date hereof and shall run perpetually. absent written termination of this Agreement by the parties hereto, or their respective successors, heirs or assigns. Upon termination, the parties shall be released from any ftu-ther liability under this Agreement. Northwest, if requested within thirty (30) days from said termination of the Agreement, shall restore the Easement Parcel to substantially the condition of such parcel upon the date of this Agreement. 7. Covenant of Title and Quiet EnioyLne . Hekkanen wan -ants that (i) it is a fee owner with good and indivisible fee title to the Easement Parcel; (ii) it has fidl power, right and authority to enter into and execute this Agreement; (iii) it will defend its title and rights to the Easement Parcel and will indemnify Northwest against any damage and expense which Northwest may suffer by reason of any lien, encumbrance, restriction or defect in the title or description of the Easement Parcel. 8. Notices. Any demands or notices allowed or permitted hereunder shall be given by certified or ed U.S. Mail, return receipt requested, and sent to the addresses specified below in this Agreement. 9.
