We can have 4-in and the system will work fine as this is just drainage from the wall. A 4-inch won't be even half full. Also we were planning on using a diffuser tee that is designed to prevent laminar flow and diminish the erosion potential. Is the permit still on hold? Second below I have listed some concerns and recommendations regarding the “Pipline License” Agreement. Could you please clarify and address them accordingly? 1. Section 2 – The initial Pipeline License is for only 25 years and there does not appear to be any apparent provision in the License to either renew or extend the License after 25 years. In fact, Section 24 suggests that the pipeline must be removed at the end of the 25 year term and the Premises restored to its original condition. This seems illogical and a potential burden for the property owner at that time. If possible, I would ask that BNSF clarify this issue and inquiry regarding the following possible solutions, in order of preference by you: a. Can the Pipeline License be converted to a permanent, but limited, easement for purposes of the Pipeline? b. Can the agreement be modified to grant a Pipeline License for 99 years (instead of 25), perhaps with the payment of additional upfront compensation? c. Can the agreement be modified to include a right for the Licensee (i.e., you or the future property owner) to renew / extend the Pipeline License for the payment of additional compensation? 2. Section 15 – The scope of the insurance required by the Pipeline License (commercial general liability, business automobile, and worker’s compensation) is more appropriate if the Licensee (i.e., you) were an actual commercial business property owner seeking a license, and not an individual residential property owner. While I can understand having or needing these coverages in place during the course of the construction of the pipeline, it is not clear why such extensive overages are necessary afterwards. For example, there is no apparent reason for you to maintain “Worker’s Compensation and Employers’ Liability Insurance” for the next 25 years when you don’t have employees. Further, unless there is an access road that will cross the railroad premises after the construction is completed, there does not appear to be any need for a “Business Automobile Insurance” policy for 25 years. These coverages are especially an issue where the cost to maintain any or all of these insurance policies for a period of 25 years may be exorbitant. Based on the same and if possible, I would ask that BNSF clarify if these commercial insurance coverages are still required given that this pertains to a private residential property and not an actual commercial property / business. Even if BNSF still requires these coverages, you may want to see if it will compromise on or consider any of the following: a. If your general contractor will be carrying most, if not all, of these commercial policies during the course of the construction, ask BNSF to consider the general contractor’s existing policies as adequate to satisfy the Pipeline License requirements during the course of the construction. b. Ask BNSF to modify the agreement to limit the time of the commercial insurance policies to the period of construction only, and not for the full 25 years. c. Ask BNSF to consider your Homeowner’s Insurance policy and an appropriate Umbrella Liability policy as a substitute for the stated commercial policies. d. Ask BNSF to eliminate the Business Automobile Insurance and Worker’s Compensation coverage requirements as not applicable to this situation or property. e. Ask BNSF to reduce the coverage amount of the Commercial General Liability coverage ($5mm/$10mm) given the decreased risk associated with the Pipeline on private residential property. 3. Section 15.4 – For ease and convenience, I recommend that you participate in BNSF’s Blanket Railroad Protective Liability Insurance Policy for the quoted premium. Given the time and cost to write a separate policy for this limited project, it is likely less expensive and less of a headache to simply participate in the existing policy. 4. Section 16.2 – There are multiple places in the Pipeline License agreement where “you” (or your general contractor) must notify BNSF and participate in specific programs prior to starting construction. One of these notifications and programs is BNSF’s “Safety Orientation.” Be sure that your general contractor has its employees, subcontractors, and other vendors who will be on the Premises complete this “Safety Orientation” before you start the construction. 5. Overall, the Pipeline License is comprehensive and is typical for this type of request; however, the agreement does seem to be a bit of “overkill” for a private residential property as compared to a commercial property. Typically, these agreements are “agreements of adhesion,” i.e., it is a “take it or leave it” proposition and the Licensor (BNSF) is not willing to negotiate or modify its standardized agreement. Notwithstanding, it does not hurt to ask if any or all of the above issues can be addressed given the circumstances. Nothing ventured, nothing gained!! 6. Per the November 6, 2018 letter from Jones Lang LaSalle, it is my understanding that you have return the signed agreement with the requested fees and insurance on or before January 6, 2019 in order to avoid an increase in the processing fees to $800.00. Given the number of issues above, I believe it would be worth it to seek clarification (and hopefully modification) from BNSF on the above items first before you sign and submit a binding contract under pressure and then have to live with less than optimal results. I’m pretty sure that I understand you want an insurance policy that fulfills your requirements from the builder of the wall, If he does not have the required insurance I can obtain it from you at a cost of $1266.00? I think I also understand that the $3,700 amount is to cover access? I’m not understanding the 25 year portion and it does not note what happens after 25 years? That account had to be closed per attorney and I had forgotten about that check. I did fedexpress a new one and as of this email have not heard from your office of what my current status is? Is the permit still on hold?   Second below I have listed some concerns and recommendations regarding the “Pipline License” Agreement. Could you please clarify and address them accordingly?     Section 2 – The initial Pipeline License is for only 25 years and there does not appear to be any apparent provision in the License to either renew or extend the License after 25 years.  In fact, Section 24 suggests that the pipeline must be removed at the end of the 25 year term and the Premises restored to its original condition.  This seems illogical and a potential burden for the property owner at that time.  If possible, I would ask that BNSF clarify this issue and inquiry regarding the following possible solutions, in order of preference by you:  Can the Pipeline License be converted to a permanent, but limited, easement for purposes of the Pipeline? Can the agreement be modified to grant a Pipeline License for 99 years (instead of 25), perhaps with the payment of additional upfront compensation? Can the agreement be modified to include a right for the Licensee (i.e., you or the future property owner) to renew / extend the Pipeline License for the payment of additional compensation?   Section 15 – The scope of the insurance required by the Pipeline License (commercial general liability, business automobile, and worker’s compensation) is more appropriate if the Licensee (i.e., you) were an actual commercial business property owner seeking a license, and not an individual residential property owner.  While I can understand having or needing these coverages in place during the course of the construction of the pipeline, it is not clear why such extensive overages are necessary afterwards.  For example, there is no apparent reason for you to maintain “Worker’s Compensation and Employers’ Liability Insurance” for the next 25 years when you don’t have employees.  Further, unless there is an access road that will cross the railroad premises after the construction is completed, there does not appear to be any need for a “Business Automobile Insurance” policy for 25 years.  These coverages are especially an issue where the cost to maintain any or all of these insurance policies for a period of 25 years may be exorbitant.  Based on the same and if possible, I would ask that BNSF clarify if these commercial insurance coverages are still required given that this pertains to a private residential property and not an actual commercial property / business.  Even if BNSF still requires these coverages, you may want to see if it will compromise on or consider any of the following:  If your general contractor will be carrying most, if not all, of these commercial policies during the course of the construction, ask BNSF to consider the general contractor’s existing policies as adequate to satisfy the Pipeline License requirements during the course of the construction. Ask BNSF to modify the agreement to limit the time of the commercial insurance policies to the period of construction only, and not for the full 25 years. Ask BNSF to consider your Homeowner’s Insurance policy and an appropriate Umbrella Liability policy as a substitute for the stated commercial policies. Ask BNSF to eliminate the Business Automobile Insurance and Worker’s Compensation coverage requirements as not applicable to this situation or property. Ask BNSF to reduce the coverage amount of the Commercial General Liability coverage ($5mm/$10mm) given the decreased risk associated with the Pipeline on private residential property.      Section 15.4 – For ease and convenience, I recommend that you participate in BNSF’s Blanket Railroad Protective Liability Insurance Policy for the quoted premium.  Given the time and cost to write a separate policy for this limited project, it is likely less expensive and less of a headache to simply participate in the existing policy.   Section 16.2 – There are multiple places in the Pipeline License agreement where “you” (or your general contractor) must notify BNSF and participate in specific programs prior to starting construction.  One of these notifications and programs is BNSF’s “Safety Orientation.”  Be sure that your general contractor has its employees, subcontractors, and other vendors who will be on the Premises complete this “Safety Orientation” before you start the construction.   Overall, the Pipeline License is comprehensive and is typical for this type of request; however, the agreement does seem to be a bit of “overkill” for a private residential property as compared to a commercial property.  Typically, these agreements are “agreements of adhesion,” i.e., it is a “take it or leave it” proposition and the Licensor (BNSF) is not willing to negotiate or modify its standardized agreement.  Notwithstanding, it does not hurt to ask if any or all of the above issues can be addressed given the circumstances.  Nothing ventured, nothing gained!!   Per the November 6, 2018 letter from Jones Lang LaSalle, it is my understanding that you have return the signed agreement with the requested fees and insurance on or before January 6, 2019 in order to avoid an increase in the processing fees to $800.00.  Given the number of issues above, I believe it would be worth it to seek clarification (and hopefully modification) from BNSF on the above items first before you sign and submit a binding contract under pressure and then have to live with less than optimal results.     I’m pretty sure that I understand you want an insurance policy that fulfills your requirements from the builder of the wall, If he does not have the required insurance I can obtain it from you at a cost of $1266.00? I think I also understand that the $3,700 amount is to cover access? I’m not understanding the 25 year portion and it does not note what happens after 25 years?
