Owners, and all persons having any present or subsequent
ownership interest in these lands, and the successors and
assigns of owners or other parties having any said interest,
hereby agree that the City of Edmonds shall be held harmless
in all respects from any and all claims for damages for in-
junctive relief which may be occasioned now or in the future
to adjacent land or improvements by reason of the construction,
operation and maintenance of the drainage system and hereby
waive and release the City of Edmonds from any and all claims
for damages, excluding damage caused solely by an act or
omission of said City and injunctive relief which the owners,
or their successors or assigns, may themselves have now or in
the future by reason of the construction, maintenance and

AGREEMENT AND COVENANT
WHEREAS, the undersigned are owners of certain
property located in the City of Edmonds, Washington, more
particularly described hereinafter, and
WHEREAS, owners, or their authorized agents, have
applied for permits and/or approvals from the City of Edmonds
to subdivide and/or construct improvements upon said real
property, and
WHEREAS, duly enacted ordinances of the City of
Edmonds require said owners to provide certain off -premise
improvements as a condition of receipt of said permits
and/or approvals, said improvements include but are not
limited to streets and sidewalks, and
WHEREAS, in lieu of constructing said off-site
improvements or posting sufficient bonds or other security
with the City as authorized by duly enacted ordinances,
owners desire to execute this Agreement and Covenant to
assure completion of the improvements as required by City
ordinance, and
WHEREAS, owners expressly acknowledge that but for
the execution of this Agreement and Covenant the City, under
its duly enacted ordinances, could not issue the permits
and/or approvals sought by owners, now, therefore,
IN CONSIDERATION of mutual benefits and the City's
approving the permits and approvals sought for by owners, it
is hereby agreed as follows:
1. The undersigned are owners of certain real
property located in the City of Edmonds, Washington, and
legally described as set forth on Exhibit B, attached hereto
and incorporated herein by this reference as if set forth in
full.
2. Owners acknowledge that certain off-site

improvements are required under City codes before development
and/or subdivision can occur on the subject property. These

hereto and incorporated herein by this reference as if set
forth in full.
3. Owners agree to assist in completion of the
improvements as set forth on Exhibit E by signing any peti-
tion for formation of a local improvement district or
utility local improvement district for that purpose, or, in
the event of any formation by resolution, by forbearing to
protest such formation and to pay the same pro rata costs
paid by other property owners on the same basis.
4. This Agreement and Covenant shall be recorded
as a deed in the Grantor -Grantee Index with owners being
listed as grantors and the City of Edmonds as Grantee.
5. The agreements and covenants contained herein
shall be binding upon owners, their successors and assigns
and shall be deemed to run with the property described
herein. All costs of recording shall be paid by owners
prior to recording of this Agreement and Covenant. In
addition to any other remedy authorized, the City of Edmonds
may enforce the provisions of this Agreement and Covenant by
specific performance. In the event the City must bring suit
to enforce any of the provisions herein, the City shall be
entitled to reimbursement of all costs for said litigation,
together with a sum as and for reasonable attorney's fees.
