FOR EDMONDS FERRY TERMINAL
BICYCLE LOCKERS
I. PARTIES
This Xnterlocal Agreement is entered into this /'W day of o6eG. , 1997 pursuant to the
provisions of Chapter 39.34 RCW between the City of Edmonds ( "Edmonds") and the
Washington State Ferries, a division of the Washington State Department of Transportation
("WSF").
H. RECITALS
WHEREAS, the City is interested in providing bicycle lockers for patrons of its parks,
and
WHEREAS, WSF is similarly interested in providing bicycle lockers to patrons of the
Edmonds Ferry Terminal ("Terminal") in the City of Edmonds, Snohomish County, Washington
and
WHEREAS, WSF desires to place bicyle lockers upon City right of way that would be
accessible to patrons of the Terminal as well as Bracketts Landing and Bracketts Landing South,
and
WHEREAS, in exchange for the placement of these lockers upon City right of way and
access by park patrons to these lockers, the City will contribute to the operation and maintenance
of the lockers, subject to the terms and conditions herein;
NOW, THEREFORE, the parties hereto, through their respective legislative bodies and
in consideration of the mutual covenants contained herein do hereby agree as follows:
M. ARTICLE OF AGREEMENT
1. installation. WSF shall purchase and install new bicycle lockers on the east side
of Railroad Street as part of a broader improvements project for the Terminal. The bicycle
lockers shall be installed on Railroad Street as shown on Exhibit A, attached hereto and
incorporated herein. WSF plans to install a total of eight (8) lockers following issuance of a
Street Use permit. Any adjustments in the actual number of lockers shall be coordinated
between the parties. The parties estimate that lockers shall be installed no later than
March 31 , 1991
2. Use. The bicycle lockers shall be available for both the Terminal and Bracketts
Landing South and Bracketts Landing.
3. Operation and maintenance. After installation, the City shall manage the
operation of the bicycle lockers, including distribution of the keys for the lockers. The City
shall also be solely responsible for maintenance of the bicycle lockers. Such service shall
include both scheduled, period maintenance and unscheduled, emergency maintenance, as
needed. The City shall not be responsible for replacing the bicycle lockers if they are damaged
beyond repair or removed.
4. Indemnification. Each party to this Agreement agrees to be responsible for its
own negligent and/or wrongful acts or omissions, or those of its agents or employees, to the
fullest extent required by law, and further agrees to save, indemnify, defend and hold the other
party harmless from any such liability. In the case of negligence of more than one (1) person
or entity, any damages allowed or indemnity provided, shall be levied in proportion to the
percentage of negligence attributable to each party. The requirements of this paragraph shall
survive termination of this Agreement.
5. Administration of this Agreement. WSF shall administer this Agreement on
behalf of both parties. No separate entity is created by this Agreement. WSF shall maintain
ownership of the bicycle lockers. No transfer of property is contemplated under this Agreement.
6. Duration of Agreement. This Agreement shall remain in full force and effect for
a period of twenty years. This Agreement may be terminated only for just cause, and shall
require one (1) year advance notice, sent by U.S. Certified Mail to the other party.

Narrative:
Washington State Ferries, a division of Washington State Department of Transportation (WSF), is
in the process of construction of the overhead improvements to the WSF facility in Edmonds.
The City of Edmonds is interested in providing bicycle lockers for patrons of its parks and WSF
desires to place bicycle lockers for ferry riders. WSF agrees to place bike lockers upon City right-
of-way, in the area of 120 Railroad Street and the City will contribute to the operation and
maintenance of the lockers which provides for the distribution of keys for the lockers.
As a cooperative partnership, staffreconimends City CoLincil authorization for the Mayor to sign
the interlocal agreement with WSF for Edmonds Ferry Terminal Bicycle Lockers.
Recommended Action:
