rebates and other incentives. Neither Costco nor Dealer is a party to such offers. Credits, rebates and other

damages resulting from such action. Costco will not replace or refund any product or component that has been
modified by a third party at any time after installation. Neither Costco nor Dealer will be responsible for
damages resulting from your failure to provide reasonable maintenance, improper handling and operation,
misuse or abuse or other occurrences beyond the control of Costco or Dealer.
Opportunity to Cure: You agree to notify Costco of any work you allege to be defective within 30 days of
discovery and within the applicable warranty period by calling Costco's toll -free telephone number at
1-844-765-0251 . You further agree to provide Costco and Dealer the opportunity to inspect the alleged defect
within a reasonable period of time after Costco receives notice. If Costco and Dealer determine that a valid claim
exists after inspection, you agree to allow Costco and Dealer to repair, reinstall, re -perform or refund the
purchase price, at Costco's option.
Photographs and Videos: You grant permission for Costco and/or Dealer to take photographs and videos of the
project site before, during and after completion of the work to document the progress. Such photographs and
videos will not be used for any marketing or promotional purposes.

TERMS AND CONDITIONS
ACCEPTANCE OF PROPOSAL: We will furnish, install & service the equipment listed above at the price, terms & conditions outlined in this proposal. We will warranty equipment breakdowns for 12
months from the date of installation of the first piece of equipment unless a longer term is stipulated. This job is subject to the Construction Lien "Construction Lien Law, what you should know about contracts" and
the "Notice to Customer" pursuant to RCW 18.27. The above prices, specifications, and conditions are hereby accepted. This Proposal and Agreement will not be deemed accepted until a signed copy is received in
the offices of MM Comfort Systems.
FINANCING AND ESTIMATED MONTHLY PAYMENTS: Est. (Estimated) monthly payment listed on the proposal is only an estimate. Actual payments will be calculated through the financing option
selected by the customer. Financing Option must be approved by the financing company and actual monthly payments will be provided from financing company.
WARRANTIES/LIMITATIONS: All material and equipment supplied shall be in accordance with the specifications contained in this proposal. All work will be completed in a workmanlike manner
according to standard industry practices and shall comply with local building code requirements. The Comfort Shield Warranty shall be for 36 months from the date of installation. Manufacturer warranties may
extend beyond this time frame. Unless an extended labor warranty is purchased, labor costs to replace/repair defective parts will be charged to the customer. Annual maintenance is required by manufacturers to
preserve equipment warranties. First year preventative maintenance must be scheduled by customer within 12 months from time of installation (only applicable if selected in proposal above). Purchaser's remedies
are limited to repair or replacement, at MM Comfort Systems' option, of defective material or equipment. Under no circumstances shall MM Comfort Systems be responsible for any consequential or incidental
damages to purchaser's property. Installation does not include duct scaling/repairs unless specified. No warranty or improvement expressed or implied with regard to performance of system due to preexisting
ductwork, piping or electrical components. Any action to enforce any rights of purchaser must be instituted within twelve (12) months of the date MM Comfort Systems begins installation.
NOTICE TO CUSTOMER: This contactor in registered with the State of Washington, registration number MMCOMMCS85564 as a general/specialty contractor and has posted with the state a bond or cash
deposit of $12,000 for the purpose of satisfying clams against the contractor for negligent or improper work or breach of contract in the conduct of the contractor's business. This bond or cash deposit may not be
sufficient to cover a claim that might arise for the work under your contract. If any supplier or materials used in your construction project or any employee of the contractor or subcontractor is not paid by the
contractor or subcontractor, your property may be liened to force payment. If you wish additional protection you may request the contractor provide you with further information about lien release documents.

DUCTLESS MINI -SPLIT DISCLAIMER: Ductless Heat Pumps are not a ducted system and will not operate like one. It is designed to heat and/or cool areas that the indoor units are located in only and may
require back up or additional heating and/or cooling and/or ceiling fans running concurrently to assist.
DELAYS/DAMAGES: MM Comfort Systems shall not be liable for any loss, damage or delays occasioned by fire, strikes, material stolen after delivery upon premises, lock -outs, acts of God or public enemy,
accidents, boycotts, material shortages, disturbed labor conditions, delayed delivery of materials from MM Comfort Systems' suppliers, inclement weather, floods, freight embargos, cause incident to national
emergencies, war, acts of the Purchaser or his agents, or other causes beyond the reasonable control of MM Comfort Systems. In the event of such delays or damages, the time for performance by MM Comfort
Systems shall be extended for a reasonable time. If such delay results in additional cost or expenses to MM Comfort Systems then purchaser shall reimburse MM Comfort Systems for such additional cost and/or
expense in addition to amounts otherwise due under this contract.
CHANGES IN THE WORK: The purchaser may order changes in the work within the general scope of the contract consisting of additions, deletions, or other revisions. MM Comfort Systems shall not be
required to make any such changes unless it first receives from the purchaser a written change order and agrees to the charge by signing the change order. Any addition, deletion or other revision, which increases
the costs or expenses of MM Comfort Systems, shall be due to MM Comfort Systems in addition to any amounts otherwise due under this contract.
PROPERTY INSURANCE: Unless otherwise agreed, the owner shall purchase and maintain property insurance upon all equipment and material delivered by MM Comfort Systems to the job site. Purchaser
shall assume all risk of loss for such materials and equipment once delivered to the job site.
PERMITS: Unless otherwise designated the purchaser shall secure and pay for all permits, governmental fees and licenses necessary for the proper execution and completion of the work. Scheduling
inspections of permits is the responsibility of the homeowner (customer).
TERMINATION OF CONTRACT/SUSPENSION OF PERFORMANCE: Purchaser has 3 days to cancel contract, after which this agreement can not be cancelled. Rescheudling the installation date
without 48 hours notice is subject to an additional $150 change fee. MM Comfort Systems may suspend or cancel its performance in the event of any of the following:
Any act of Purchaser or his/her agents, which prevents or inhibits MM Comfort Systems from timely performing its obligation under this Agreement.
For the reasons specified above under Delays/Damages.
If alterations to job scope cannot be accommodated within regular install schedule or staffing
Installation does not begin within 90 days of proposal date.
SUIT/ARBITRATION/ATTORNEY'S FEES: In the event of any dispute under this contract, either party may elect that this matter be submitted to binding arbitration in Seattle, Washington, pursuant to the
then -effective rules of the American Arbitration Association. In the event this matter is referred for collection or if either party retains an attorney for the purpose of arbitration or suit, the prevailing party shall be
entitled its actual cost and attorney's fees, all cost of collection, including licenses, collection agency fees and court costs, in addition to the amounts otherwise due. Venue and jurisdiction shall be laid in King
County, Washington.

to the commencement of work covered by the new change order.
The order must describe the scope of the extra work or change,
the cost to be added or subtracted from the contract, and the
effect the order will have on the approximate completion date. If
the parties fail to execute the extra work or change order in
writing, you will still be responsible for the cost of the work
performed based upon legal and equitable remedies designed to
prevent unjust enrichment.
8. List of Documents to be Incorporated into the Contract: This
Contract consists of the terms herein, any change orders, and the
following documents: (1) Work Order, (2) additional Costco terms
and conditions if any provided to you, (3) Notice to Consumers,
and (4) two Notice of Cancellation forms. In the case of
inconsistency among any of the documents listed above and the
terms of this Contract, the terms of this Contract will control.
These documents constitute the entire understanding between
the parties, and there are no verbal or written understandings
changing or modifying any of the terms of these documents.
9. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY
LAW, NEITHER COSTCO NOR DEALER WILL BE LIABLE TO YOU FOR
ANY INCIDENTAL, INDIRECT, CONSEQUENTIAL OR SPECIAL
DAMAGES AND UNDER NO CIRCUMSTANCE WILL COSTCO'S OR
DEALER'S LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE
PAID UNDER THIS CONTRACT.

Pre -Existing Conditions: Costco and Dealer are not responsible for pre-existing conditions, including any non -
code compliant work performed by others. In the event it is determined by Costco or Dealer that this Contract
cannot be performed as intended by the parties due to, for example, unforeseen structural defects or
undiscovered pre-existing conditions to your property, Costco or Dealer may submit a change order to address
the additional work, costs and schedule changes that would be incurred to remedy such conditions, if possible.
If you decline the change order or otherwise fail to remedy the pre-existing condition, Costco shall not continue
with the work, and shall cancel the contract. If the Contract is canceled, you agree to pay Costco the costs of
materials, labor and services provided through the date of cancellation.
Hazardous Conditions: You agree to inform Dealer in writing of the presence and location of any potentially
hazardous conditions at the project location prior to the start of work. In the event that Costco or Dealer
suspects existing or developing spore or mold growth, asbestos -containing materials or other potentially
hazardous conditions at the project location, Costco and the Dealer will stop work and will not attempt to test,
repair or remediate such conditions. At your sole expense, you must arrange to have the hazardous condition
tested, repaired and remediated by a third party in compliance with applicable laws within a reasonable period of
time, or Costco may cancel this Contract. If the Contract is canceled, you agree to pay Costco the costs of
materials, labor and services provided through the date of cancellation.
Interference with Performance: Costco reserves the right to cancel the Contract to the extent that either Dealer
or Costco reasonably determines that the project cannot be performed as intended by the parties due to site
changes or recommended site upgrades, the project cannot satisfy your expressed needs or preferences, you
unreasonably interfere with the project, or Dealer encounters an unsafe, intimidating or offensive environment at
the property. If the Contract is canceled, you agree to pay Costco the costs of material, labor and services
provided through the date of cancellation.
Lead Paint: The U.S. EPA requires that all contractors use special lead -safe work practices to perform remodeling
work on houses built before 1978 where lead paint is present. If the remodeling work does not qualify for an
exemption, the area where the work will be performed must be tested for lead paint. You agree to pay Dealer or
a third party certified renovator a surcharge fee to perform the test, the cost to be agreed -upon prior to the test.
If the test reveals lead paint, a certified renovator is required to use special lead -safe work practices to remove
the lead (the "Renovation"). If you wish to proceed with the Renovation, you agree to pay Dealer or a third party
certified renovator a lead paint surcharge fee, which will be calculated based on the size and scope of the
Renovation. If you do not proceed with the Renovation, Costco will cancel this Contract. If the Contract is
canceled, you agree to pay Costco the costs of materials, labor and services provided through the date of
cancellation.
Ownership/Consent: You promise that either (1) you hold legal title to the property or (2) you have written
consent from each owner of the property for installation work to take place on the property.
Building Permits: Dealer will notify you of all necessary permits required by state or local codes and ordinances
Unpaid Amount: To the extent permitted by law, any unpaid amount due in connection with this Contract will
accrue interest in the amount of 1% per month. In the event any obligation arising under this Contract is referred
to or assigned to a collection agency for collection purposes, whether or not a lawsuit has been commenced, you
agree to pay all costs of collection, including, but not limited to, reasonable attorneys' fees.
Lien Notice: Costco and Dealer may have a claim against you which may be enforced against your property under
applicable lien laws should you fail to pay all amounts due in connection with this Contract.

Unless specified in the Work Order the following items are not included in the contract price:
a. Replacement of existing refrigeration lines
b. Replacement of existing condensate drain components
c. Replacement of existing electrical (high or low voltage), gas and/or venting components
d. Painting, patching, stucco repair or other finish work
e. Roofing, drywall or framing modifications
Any additional work requested or required to existing items will be quoted separately and are at the
Member's sole expense. If changes to the Work Order are necessary, they will be discussed and agreed
upon in writing prior to the commencement of work covered by the new change order.
2. Work to new or existing ductwork is limited to reasonably accessible areas of the home. Reasonably accessible
areas refers to areas which Dealer has access to without the necessity of removing fixed objects such as drywall,
pipes or other building materials. Inaccessible portions of ductwork will remain in place and as is.
3. Airflow to each conditioned room may change once the new or existing equipment and/or duct work has been
changed or reconnected. Unless specified in the Work Order, zoning and/or airflow dampers (mechanical airflow
controllers) are not included in the contract price. Certified air balancing is not included in the Work Order.
4. After the installation is complete, it may be necessary (based on local requirements) to schedule airflow and/or
system validation testing as well as any required permit inspection. All inspections are performed by third parties.
Once the airflow and/or system validation testing is completed and the findings are received by the Dealer, the
local permit inspection can be scheduled. Access to the home will be needed for all inspections. Scheduling of
third party inspections are the responsibility of the member. Airflow testing failures due to existing ductwork are
not the responsibility of Costco or the Dealer.
5. Unrelated local permit corrections or requirements beyond the Work Order are not the responsibility of Costco or
the Dealer.
6. Any required approvals from a Homeowners Association (or similar entity) are the member's responsibility. Any
required approvals are to be obtained by the member prior to work beginning. Any fines, work stoppage, etc.
resulting from the failure to obtain the proper approvals are not the responsibility of Costco or the Dealer.
7. Any applicable rebates or incentives (other than Costco membership offers) are based on the availability of the
third party provider(s) offering them. Rebate or incentive funds may not be available by the time your installation
takes place. The member is responsible for the submission and confirmation of any third party rebates or
incentives prior to installation.

Permits were purchased for your installation. The issuing authority is required to inspect the work performed at your
home. You will receive your permits at the time of installation, along with other documents.
Please see the highlighted section on each permit to schedule the required inspection. Please note that there are no
costs for the initial inspection, but failure to schedule your inspection could result in fines from the issuing authority.
-At install, please review the sections below that relate to YOUR permits -
ELECTRICAL PERMIT / INSPECTION:
❑ Electrical Permit — Labor and Industries (L&I): The Department of Labor and Industries will contact you directly to
schedule an electrical inspection. They will make three (3) attempts to contact you within seven (7) business days
after completion of your installation. When L&I contacts you, schedule a time for the inspection. The L&I electrical
inspection MUST be completed before you can schedule any other required inspection (indicated by a check mark.) If
you miss your scheduled inspection, L&I will issue a missed -appointment trip fee that will be your financial
responsibility. It is essential that this inspection be done to avoid complications with Washington State.
❑ Class B Electrical Sticker — Labor and Industries (L&I): No inspection is required unless L&I contacts you for a
random inspection.
❑ Electrical Permits — All other jurisdictions: The Homeowner must schedule the electrical inspection upon
completion of installation. You should schedule it for the same day as the mechanical inspection. Please call the
highlighted telephone number on your permit to schedule. (Municipalities include Bellevue, Burien, Des Moines, Everett,
Federal Way, Kirkland, Lacey, Lynnwood, Marysville, Mercer Island, Mountlake Terrace, Normandy Park, Olympia, Redmond,

REFRIGERATION PERMIT / INSPECTION:
❑ Some jurisdictions require the refrigeration piping inspection be "signed off" or passed prior to your system start-
up. This is only for Air Conditioning and/or Heat Pump installations. This excludes all Ductless systems.
(Municipalities include Brier, Duvall, Kirkland, Lake Forest Park, Medina, Seattle, and University Place.)

AFTER the electrical inspection is completed and approved. If you do not have an electrical permit, proceed with
