This License Agreement ("Agreement") is hereby entered into and effective as of the last undersigned date (the "Effective Date") by and between the above -referenced Grantor(s) and Grantee(s) (collectively sometimes referred to as "the parties") concerning the matters set forth hereinafter. I. RECITALS A. The above -referenced Grantor is the owner of the above -referenced real property identified as the Grantor's Property, and the above -referenced Grantee is the owner of the above -referenced real property identified as the Grantee's Property. B. Grantor's Property and Grantee's Property are adjacent to and abutting one another such that the northerly boundary of Grantor's Property is generally one and the same with the southerly boundary of Grantee's Property (the "Common Boundary Line"). License Agreement Page 1 of 6 C. The exact pinpoint location of the Common Boundary Line is not presently known to the parties with specificity, but it is the parties' express mutual intention that this License Agreement shall not affect or alter the location of the Common Boundary Line in any way. D. Grantee wishes to install a fence generally between Grantee's Property and Grantor's Property, including along the top side of the rock/retaining wall that is situated on or near the Common Boundary Line (the "Fence"). E. To the extent that any portion of Grantee's fence should be on Grantor's Property, Grantor wishes to grant a license to Grantee allowing for the fence installation on Grantor's Property, subject to the terms and conditions set forth herein. NOW THEREFORE, for good and valuable consideration, the parties hereby agree as follows: II. AGREEMENT 1. RECITALS INCORPORATED. The above -referenced Recitals are incorporated herein by this reference as though fully set forth herein. 2. GRANT OF LICENSE. Grantor hereby grants to Grantee a license to erect, use, and maintain the Fence on Grantor's Property, including license to use any portion of Grantor's Property that is occupied or cordoned -off by the Fence, subject to Grantor's express approval of the location and installation method of the Fence. 3. INDEMNITY. Grantee shall indemnify and hold Grantor harmless from and against any and all loss, liability, damage, claim, or harm otherwise that arises from or relates to Grantee's occupancy of Grantor's Property, and Grantee shall maintain adequate insurance coverage for the same (at coverage levels consistent with industry standards). 4. GRANTOR'S RIGHT TO REPLACE FENCE. Should Grantor ever wish to replace the Fence with anew or different fence or barrier, Grantee hereby authorizes Grantor to do so at Grantor's expense. S. TERM OF LICENSE. This license shall be revocable by Grantor at anytime with or without cause. However, this license shall not automatically terminate in the event of a future transfer or conveyance of either Grantee's Property or Grantor's Property. [This space is intentionally left blank.
