Leif— per our chat, we are fine with a letter from Edmonds stating permit is approved pending the
receipt of the covenant not to sell and or payment of fees. I can use that to close my construction loan
and take ownership of the land. Thank you!

Richard,
It is not necessary that you provide the 'covenant not to sell' with your next submittal. As part of your
response letter, however, please make mention of your previously provided letter regarding building
enclosure. The covenant may be submitted to us at any time before the permit is issued.
As to your question of the timing of the sale of the property, I believe the state law is clear that the
building department cannot issue a permit for a multi -unit residential building unless we have first
received either the required building enclosure documents, or the covenant. Will it work for your team if
the City was to provide you with written notice that the permit is approved and ready to issue? That way
you have assurance that the permit may move forward, and the City can still meet state law.

Richard — my attorney raised a good question, we don't own the property yet so how do we execute and
record this before we close? I assume seller won't want to do it either. We can have the documents
prepped and can record at closing but likely not before.
