A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF EDMONDS,
WASHINGTON, AUTHORIZING THE MAYOR TO DEVIATE FROM THE
REQUIREMENTS OF ECC 2.10.010 RELATING TO THE APPOINTMENT
OF THE INTERIM PUBLIC WORKS DIRECTOR.
WHEREAS, in August 2024, pursuant to the provisions ofECC 2.10.010, the mayor appointed
Phil Williams to serve as Interim Public Works/ Utilities Director until such position could be
permanently filled; and
WHEREAS, the parties entered into an agreement for that purpose with an initial term of four
months; and
WHEREAS, ECC 2.10.030 provides that the authority of appointive officers to hold such
position on an acting basis, such as in this case, expires six months after the date of the acting
appointment unless the mayor requests an extension of acting directorship authority from the city
council in increments of no more than six months at a time to locate a suitable permanent
candidate; and
WHEREAS, pursuant to the provisions ofECC 2.10.030, the parties' agreement was amended
twice, in December 2024 and January 2025 to extend the term of the agreement for a full
calendar year, through August 11, 2025; and
WHEREAS ECC 2.10.010, subsection E, provides that, acting directors shall be compensated
pursuant to applicable ordinances and personnel policies regarding acting pay; and
WHEREAS, Mr. Williams is not compensated pursuant to applicable ordinances and personnel
policies regarding acting pay; and
WHEREAS, ECC 2.10.010, subsection G, provides that, in the event the mayor believes it to be
in the city's best interest to deviate from the timelines, processes, or other requirements of that
section, the mayor may request that the city council consent to such deviation by adopting a
resolution to that effect; and
WHEREAS, the mayor has determined that it is in the city's best interests to further extend the
city's agreement with Phil Williams through the end of August 2025; and
WHEREAS, the city council has agreed that it is in the city's best interests to deviate from the
provisions of ECC 2.10.010 and allow for the requested extension; now therefore,
THE CITY COUNCIL OF THE CITY OF EDMONDS, WASHINGTON, HEREBY
RESOLVES AS FOLLOWS:

The city council hereby authorizes the mayor to deviate from the compensation provisions of
ECC 2.10.010 and enter into a third amendment to the city's agreement with Phil Williams to
extend its term through August 31, 2025. The city council hereby also ratifies any prior
deviations from the compensation provisions ofECC 2.10.010 with regard to the agreements it
approved in the past between the city and Mr. Williams.
