BUDGET: Total Dollar Amount:TBD ☒ Approved in Budget Fund(s):Connecting Washington Grant ☐ Budget Reallocation Required ☐ No Budget Impact PROBLEM/ISSUE STATEMENT: As part of the Highway 99 Revitalization project in Stage 3, the two existing Community Transit (CT) SWIFT Stations at the northeast and southwest corners of Highway 99 at 238th St SW need to removed and replaced due to the addition of the second left turn northbound lane. CONTEXT, ANALYSIS, & ALTERNATIVES: The goal of the Highway 99 Revitalization project is to extend the successful transformation of Highway 99 in Shoreline through Edmonds from 244th St SW to 210th St SW. Due to the high cost of completing the proposed improvements along the corridor, the 2.25 mile stretch was divided into seven segments. The scope of the Stage 3 segment, from 244th St SW to 238th St SW, includes capacity improvements at Hwy 99 @ 238th St SW with the addition of a second left turn lane for the northbound movement. The project work includes the design and construction of new bike lanes, sidewalks with planter strip, street and pedestrian lighting on both sides of the street, a road overlay, hardscaping/landscaping, and the completion of various utility improvements, including conversion of overhead utility lines to underground. All CT platform revisions needed as a result of this project will need to be paid by the City to cover the design and construction phases. The existing platform width will be reduced from 16’ to 12.5’. This is due to the limited space behind the proposed sidewalk in relation the adjacent private properties. Limiting factors include: required parking aisles, face of buildings, and other parking lot conflicts. This platform reduction also requires CT to modify the existing windscreens to L-shaped windscreens. Existing amenities within the SWIFT Stations (such as vending machines, canopy structure, and seating area) will need to be replaced or relocated in order to fit within the reduced platform at the new locations. CT is working with the consultant, Otak, on other station upgrades (to be incorporated as part of this project / funded by CT). The Otak contract is being supplemented to cover all the design fees for the amenity relocations, platform width reductions, new electrical connections to all those units, and the new windscreen.   Item 2.1       Packet pg. 2/45 RECOMMENDATION: Forward this item to the consent agenda for approval. (Consultant) and Community Transit (Client). Project Understanding The City of Edmonds is widening a portion of SR-99 to improve safety. As part of these changes, two Swift Blue Line stations at 238th Street SW will be removed and replaced, the existing station shelter canopy structure and other amenities will require relocation to fit within the modified station platform. The goal of this effort is to assist Community Transit in preparing design documentation, including construction Plans, Specifications and Estimates (PS&E) at each design phase for the Swift Bus Rapid Transit (BRT) Blue Line Station pair at 238th Street SW, Edmonds, WA. The design is expected to shift the locations of the existing ticket vending machines, windscreens, and seating to similar positions as was included as part of the Swift Orange Line. Due to the reduced platform width from City of Edmonds project, the existing 238th Street station windscreens will need to be replaced with L-shape windscreens (as typical BRT Orange Line station windscreens) to accommodate the site condition change for accessibility reasons. Phase 1 includes the development of preliminary design and construction cost estimates and assisting with jurisdictional coordination. Phase 2 includes development of final design PS&E for the 238th Street SW station pair relocation, and continued assistance with jurisdictional coordination to ensure design details are coordinated with the City of Edmonds construction documents for the roadway widening. Scope of Services – Phase 2 – Final Design 1. Project Management and Subconsultant Administration 1.1. Project Management The Consultant will provide project management to satisfactorily complete the scope of services. The Consultant will plan and manage the activities of the design team and prepare project progress reports and documentation. The following meetings are anticipated: Regular client coordination meetings to review project progress; obtain client input on project issues; and status-checks of project activities provided by client and/or others. The client coordination meetings will take place approximately monthly. When necessary, meeting(s) to review/discuss client comments associated with document submittals. 2.3. Jurisdictional Meetings and Coordination The Consultant will provide support to coordinate with the City of Edmonds on the design and project approval needs for removal and salvaging existing Swift Station components and reinstallation and attend joint utility coordination meetings when requested. The Consultant will review the City of Edmonds SR-99 Revitalization Phase 3 project plans to ensure the necessary site details are included in the City’s design plans, and coordinate with the site grading and utility plans to facilitate the station relocation. Final Design Final design engineering services will include the preparation of 90% and 100% plans, specifications, and construction cost estimates for the 238th Street SW station pair relocation. 4.1. Preparation of 90% Design Documents The Consultant will prepare 90% design plans with changes from 30% review comments incorporated. The 90% plans will include additional construction details as needed to supplement the plan sheets for station relocation and the relocation of existing structures, station amenities, and equipment. The final design includes efforts to coordinate with the City of Edmonds design team. The Consultant will evaluate and provide structural foundation details for station shelter and amenities (if applicable), platform curb and paving details, and other necessary utility details (conduits required for the station, and shelter roof drainage connection) to include in the City’s design plans. The Consultant will prepare technical specifications associated with the project scope based on the 2026 edition of the WSDOT Standard Specifications with the APWA supplement, and Community Transit requirements. A 90% level of anticipated construction cost estimate will be prepared. The construction cost estimate will be prepared using historical unit prices from similar projects, other current cost data, and recent Community Transit projects. The Consultant will assemble and submit design document deliverables to Community Transit for review and comment. The Consultant will subsequently evaluate review comments and provide the Client with written responses to each comment for clarification and concurrence. The review comments will be incorporated into the 100% design documents. 4.2. Preparation of Draft 100% Design Documents The Consultant will prepare draft 100% design documents with changes from 90% review comments incorporated. The draft 100% design document will be submitted to Community Transit and the City of Edmonds for final review and concurrence. 4.3. Preparation of Final 100% Design Documents The Consultant will prepare final 100% design documents with changes from draft 100% review comments incorporated. 4.4. Quality Assurance/Quality Control Review The Consultant will perform QA/QC reviews of the project plans, specifications, and cost estimates at 90%, and 100% design levels. TASK 4 ASSUMPTIONS The final design will follow the 30% station layout (12’-8” wide platform) with no significant layout changes. Project Understanding The following scope of services is intended to support Community Transit and Otak in preparation of 90% and 100% documents supporting relocation of two existing Blue Line stations at 238 th Street, Edmonds. This work continues the efforts that we started in the 30% phase. This scope assumes the Orange Line selected fabricator (Dimensional Innovations) will provide final construction drawings and fabrication services for any affected amenities. The existing shelters and those amenities will be removed and stored for reuse at the new station locations. PIVOT will provide 90% and 100% design services and drawings illustrating the two relocated 238th Street stations. Site specific drawings for the two stations are anticipated to be provided by others, with PIVOT responsible for revised platform plans illustrating relocated elements and their positions. Platforms will be placed in positions previously determined by others. Our estimate includes hours for review of the proposed locations with the intent of verifying that they are compatible with the salvaged and retrofit components, and that edge conditions of the new locations are evaluated to determine the potential need for adding barrier railings. In addition to the relocated station pair at 238th Street, this project previously included generation of a template for future upgrades to Blue and Green Line stations. The work of the 30% phase included an investigation of the feasibility of upgrading Blue and Green Line stations with the information kiosks developed for the Orange Line. This revision would have necessitated relocation of existing ticket vending machines. Cost estimation for this work resulted in Community Transit electing to not further pursue these upgrades. The upcoming documents will remove references to upgrades. Our understanding is that the only new items to be provided will be L-windscreens like those installed at typical Orange Line stations. We will need to choose a configuration for these. The 30% work also included a platform plan for the 12’-8” platform width imagined at that time for the 238th station pair. We are pleased to provide our following proposal for partial design scope that defines our statement of understanding, scope of services, assumptions, schedule, and fees and is consistent with the scope of work and emails dated June 9, 2025 on the subject project. STATEMENT OF UNDERSTANDING The City of Edmonds, in collaboration with Community Transit, is requesting a final design for two Swift Blue Line stations. This would require us to update the current 30% design drawings for 90% and 100% design submittals and to include the changes to relocate the existing equipment instead of upgrading the equipment. The effort will involve the following items: Permitting Agencies: OTAK will lead and submit electrical permitting to the City of Edmonds. P2S will provide assistance as required. Electrical Systems: The Electrical scope includes changing back the 30% design to relocate all existing equipment from their current location to a new location which includes power panel, TVM, lights. The work encompasses evaluating the existing utility service capacity, assessing underground utilities, performing load calculations, and coordinating with the utility service provider. Lighting: Community Transit has recently upgraded their lights to LED as a part of the Blue Line and Green Line lighting upgrades project. For this project, the Lighting scope would include only reconnecting existing lights to power circuits. New lighting selections and calculations are excluded. Technology Systems: The Technology scope includes changing back the 30% design to relocate all existing equipment from their current location to new location which includes the current information cabinet, ticket vending machines, lighting, and RTPI systems, which will be rewired and reinstalled as part of the relocation. voice lines to support the relocated systems. Sustainability: The design will incorporate energy-efficient and environmentally responsible practices. Software: The software will be AutoCAD. BASIC SCOPE OF WORK The scope of work includes designing plans and providing a construction cost estimate for Two Station Relocation 238th Street Stations The scope of this proposal is for the 90% and 100% submittals. The following reviews are anticipated for the project: o Community Transit Plan Review o Edmonds City Review o Plan Check Review SCHEDULE AND DELIVERABLES P2S requires a minimum 6 weeks for the 90% deliverable after NTP and a minimum 3 weeks for the 100% deliverable after NTP. ASSUMPTIONS Upgrades of existing equipment including signage, card readers, and digital vending machines with kiosk, are excluded. Coordination with service providers is excluded. CT will be responsible for providing the camera specifications, if required to provide a new camera. Plan check fees will be paid by the client. Preparation of separate bid packages and alternates is not included in the proposal. The proposal assumes one bid package for the entire project. All assumptions from the base proposal are also applicable here unless otherwise indicated. FEE We propose to undertake the project defined in this proposal for a time and materials fee as shown in the attached table, plus the fixed fee as negotiated by CT and OTAK. CONTEXT, ANALYSIS, & ALTERNATIVES: The Comprehensive Water System Plan is required to be updated every ten years to meet the planning requirements of the Washington State Department of Health (DOH) and the Growth Management Act (GMA). The purpose of the plan is to meet the State’s regulatory requirements and to provide the City with a useful working document to guide planning, scheduling, and budgeting of water system improvements and replacements. The key elements to be addressed include a water system analysis, capital facility plan, financial program, operations and maintenance program and water conservation analysis. A Request for Qualifications (RFQ) was advertised November 25 and December 2, 2025. The City received two Statement of Qualifications (SOQ), from Consor North America, Inc. and Infractiv. The SOQ were evaluated based on the consultants’ Project Approach, Related Experience of Firms on Team, Qualifications of Proposed Project Manager, Expertise of Key Staff (Prime and Sub Consultants), and References/Past Performance. Consor was selected based on the evaluation results of the SOQ, which included their extensive knowledge of Edmonds’ potable water system and their experience preparing water system plans for agencies throughout the Puget Sound. There will be opportunities for public comment on the draft plan, with these comments/input being included in the final adopted comprehensive water system plan. Payment for work accomplished under the terms of this Agreement shall be on a time and expense basis as set forth in Exhibit B; provided, in no event shall the payment for work performed pursuant to this Agreement exceed the sum of FIVE HUNDRED THIRTY-FIVE THOUSAND SIX HUNDRED EIGHTY-FOUR DOLLARS ($535,684). B. All vouchers shall be submitted by the Consultant to the City for payment pursuant to the terms of this Agreement. The City shall pay the appropriate amount for each voucher to the Consultant. The Consultant may submit vouchers to the City monthly during the progress of the work for payment of completed phases of the project. Billings shall be reviewed in conjunction with the City’s warrant process. No billing shall be considered for payment that has not been submitted to the City three (3) days prior to the scheduled cut-off date. Such late vouchers will be checked by the City and payment will be made in the next regular payment cycle. C. The costs records and accounts pertaining to this Agreement are to be kept available for inspection by representatives of the City for a period of three (3) years after final payment. Copies shall be made available upon request.   Item 2.2       Packet pg. 16/45 2 3. Ownership and use of documents. All research, tests, surveys, preliminary data, reports, and any and all other work product prepared or gathered by the Consultant in preparation for the services rendered by the Consultant under this Agreement shall be and are the property of the Consultant, provided, however, that: A. All final reports, presentations, documentation and testimony prepared by the Consultant shall become the property of the City upon their presentation to and acceptance by the City and shall at that date become the property of the City. B. The City shall have the right, upon reasonable request, to inspect, review and copy any work product during normal office hours. Documents prepared under this Agreement and in the possession of the Consultant may be subject to public records request and release under Chapter 42.56 RCW. C. In the event that the Consultant shall default on this Agreement, or in the event that this Agreement shall be terminated prior to its completion as herein provided, the work product of the Consultant, along with a summary of work done to date of default or termination, shall become the property of the City and tender of the work product and summary shall be a prerequisite to final payment under this Agreement. The summary of work done shall be prepared at no additional cost. 4. Time of performance. The Consultant shall perform the work authorized by this Agreement promptly in accordance with the receipt of the required governmental approvals. 5. Indemnification / Hold harmless agreement. The Consultant shall defend, indemnify and hold the City, its officers, officials, agents, employees, and volunteers harmless from and shall process and defend at its own expense any and all claims, injuries, damages, losses, demands, or suits at law or equity to the extent arising from the negligent acts, errors or omissions of the Consultant in the performance of this Agreement, or breach of any of its obligations under this Agreement, except for injuries and damages caused by the sole negligence of the City. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Consultant and the City, its officers, officials, agents, employees, and volunteers, the Consultant’s liability, including the duty and cost to defend, hereunder shall be limited to the extent of the Consultant’s proportionate share of fault as determined by settlement, adjudication, or alternative dispute resolution. The Consultant shall comply with all applicable sections of the applicable Ethics laws, including RCW 42.23, which is the Code of Ethics for regulating contract interest by municipal officers. The Consultant specifically assumes potential liability for actions brought by the Consultant’s own employees against the City and, solely for the purpose of this indemnification and defense, the Consultant specifically waives any immunity under the state industrial insurance law, Title 51 RCW. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement.   Item 2.2       Packet pg. 17/45 3 6. General and professional liability insurance. The Consultant shall obtain and keep in force during the term of this Agreement, or as otherwise required, the following insurance with companies or through sources approved by the State Insurance Commissioner pursuant to Title 48 RCW. Insurance Coverage A. Worker’s compensation and employer’s liability insurance as required by the State. B. Commercial general liability and property damage insurance in an aggregate amount not less than two million dollars ($2,000,000) for bodily injury, including death and property damage. The per occurrence amount shall be written with limits no less than one million dollars ($1,000,000). C. Vehicle liability insurance for any automobile used in an amount not less than a one million dollars ($1,000,000) combined single limit. D. Professional liability insurance in the amount of one million dollars ($1,000,000). Excepting the Worker’s Compensation Insurance and Professional Liability Insurance secured by the Consultant, the City will be named on all policies as an additional insured. The Consultant shall furnish the City with verification of insurance and endorsements required by the Agreement. The City reserves the right to require complete, certified copies of all required insurance policies at any time. All insurance shall be obtained from an insurance company authorized to do business in the State of Washington. The Consultant shall submit a verification of insurance as outlined above within fourteen days of the execution of this Agreement to the City. No cancellation of the foregoing policies shall be effective without thirty (30) days prior notice to the City. The Consultant’s professional liability to the City shall be limited to the amount payable under this Agreement or one million dollars ($1,000,000), whichever is the greater, unless modified elsewhere in this Agreement. In no case shall the Consultant’s professional liability to third parties be limited in any way. 7. Discrimination prohibited. The Consultant shall not discriminate against any employee or applicant for employment because of race, color, religion, national origin, age, sex, sexual orientation, marital status, veteran status, liability for service in the armed forces of the United States, disability, or the presence of any sensory, mental or physical handicap, or any other protected class status, unless based upon a bona fide occupational qualification. 8. Consultant is an independent contractor. The parties intend that an independent contractor relationship will be created by this Agreement. No agent, employee or representative of the Consultant shall be deemed to be an agent, employee or representative of the City for any purpose. The Consultant shall be solely responsible for all acts of its agents, employees, representatives and subcontractors during the performance of this Agreement. 9. City approval of work and relationships. Notwithstanding the Consultant’s status as an independent contractor, results of the work performed pursuant to this Agreement must meet the approval of the City. During pendency of this Agreement, the Consultant shall not perform work for any party with respect to any property located within the City of Edmonds or for any project subject to the administrative or quasijudicial review of the City without written notification to the City and the City’s prior written consent.   Item 2.2       Packet pg. 18/45 4 10. Termination. This being an Agreement for professional services, either party may terminate this Agreement for any reason upon giving the other party written notice of such termination no fewer than ten (10) days in advance of the effective date of said termination. Payment under this Agreement is subject to the appropriation of funds for these purposes. In the event funds are not appropriated, the City reserves the right to terminate this Agreement effective immediately and shall provide the Consultant with written notice of immediate termination. 11. Integration. The Agreement between the parties shall consist of this document, its Appendices 1 & 2, and the Scope of Work and fee schedule attached hereto as Exhibits A and B. These writings constitute the entire Agreement of the parties and shall not be amended except by a writing executed by both parties. In the event of any conflict between this written Agreement and any provision of Exhibits A and B, this Agreement shall control. 12. Changes/Additional Work. The City may engage the Consultant to perform services in addition to those listed in this Agreement, and the Consultant will be entitled to additional compensation for authorized additional services or materials. The City shall not be liable for additional compensation until and unless any and all additional work and compensation is approved in advance in writing and signed by both parties to this Agreement. If conditions are encountered which are not anticipated in the Scope of Work, the City understands that a revision to the Scope of Work and fees may be required. Provided, however, that nothing in this paragraph shall be interpreted to obligate the Consultant to render services, or the City to pay for services rendered, in excess of the Scope of Work in Exhibit A unless or until an amendment to this Agreement is approved in writing by both parties. 13. Standard of Care. The Consultant represents that the Consultant has the necessary knowledge, skill and experience to perform services required by this Agreement. The Consultant and any persons employed by the Consultant shall use their best efforts to perform the work in a professional manner consistent with sound practices, in accordance with the schedules herein and in accordance with the usual and customary professional care required for services of the type described in the Scope of Work. 14. Non-waiver. Waiver by the City of any provision of this Agreement or any time limitation provided for in this Agreement shall not constitute a waiver of any other provision. 15. Non-assignable. The services to be provided by the Consultant shall not be assigned or subcontracted without the express written consent of the City. 16. Covenant against contingent fees. The Consultant warrants that he/she/they has/have not employed or retained any company or person, other than a bona fide employee working solely for the Consultant, to solicit or secure this Agreement, and that he/she/they has/have not paid or agreed to pay any company or person, other than a bona fide employee working solely for the Consultant, any fee, commission, percentage, brokerage fee, gifts, or any other consideration contingent upon or resulting from the award of making of this Agreement. For breach or violation of this warranty, the City shall have the right to annul this Agreement without liability or, in its discretion to deduct from the contract price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gift, or contingent fee.   Item 2.2       Packet pg. 19/45 5 17.Compliance with laws. The Consultant in the performance of this Agreement shall comply with all applicable Federal, State or local laws and ordinances, including regulations for licensing, certification and operation of facilities, programs and accreditation, and licensing of individuals, and any other standards or criteria as described in the Agreement to assure quality of services. Because this Agreement is subject to federal nondiscrimination laws, the Consultant agrees that the provisions of Appendices 1 & 2, attached hereto and incorporated herein by this reference, apply to this Agreement. The Consultant specifically agrees to pay any applicable business and occupation (B & O) taxes which may be due on account of this Agreement. 18.Notices. Compliance with Regulations: The Consultant/Contractor shall comply with the acts and regulations relative to nondiscrimination in federally-assisted programs of the United States Department of Transportation (USDOT), Title 49, Code of Federal Regulations, Part 21 (49 CFR 21), as they may be amended from time to time (hereinafter referred to as the Regulations), which are herein incorporated by reference and made a part of this Agreement. 2. Nondiscrimination: The Consultant/Contractor, with regard to the work performed by it during the Agreement, shall not discriminate on the grounds of race, color, national origin, sex, age, disability, income-level, or LEP in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The Consultant/Contractor shall not participate directly or indirectly in the discrimination prohibited by Section 21.5 of the Regulations, including employment practices when the Agreement covers any activity, project, or program set forth in Appendix B of 49 CFR 21. 3. Information and Reports: The Consultant/Contractor shall provide all information and reports required by the Regulations and directives issued pursuant thereto, and shall permit access to its books, records, accounts, other sources of information, and its facilities as may be determined by the City or the appropriate state or federal agency to be pertinent to ascertain compliance with such Regulations, orders, and instructions. Sanctions for Noncompliance: In the event of the Consultant’s/Contractor’s noncompliance with the nondiscrimination provisions of this Agreement, the City shall impose such contract sanctions as it or the appropriate state or federal agency may determine to be appropriate, including, but not limited to: • Withholding of payments to the Consultant/Contractor under the Agreement until the Consultant/Contractor complies; and/or • Cancellation, termination, or suspension of the Agreement, in whole or in part. 6. (Consor) and the City of Edmonds (City). Work authorized by this scope is for engineering services to develop the 2027 Comprehensive Water System Plan (WSP). The WSP will document the evaluation of the City’s existing infrastructure to determine how to meet projected demands and regulatory requirements over a 20-year planning horizon. In addition, water system needs and deficiencies identified in the recently completed hydraulic model update and other water system asset management assessments and plans will be incorporated into the WSP. These needs and deficiencies will inform the City’s ongoing Capital Improvement Program (CIP) as well as operations and maintenance strategies for the 20-year planning period. Project Understanding The WSP will serve as an update to the City’s 2017 Water Comprehensive Plan and provide the City with a Washington State Department of Health (DOH) approved WSP to address Washington Administrative Code (WAC) 246-290-100. The tasks in this Scope are structured to align with the DOH Water System Planning Guidebook structure. The WSP will be structured to align with the 2017 Water Comprehensive Plan, including the major chapters developed under the corresponding tasks indicated below.
