WHEREAS, the City of Edmonds and Island County wish to en`*/ipnto an cal
cooperative purchase agreement in order to enable each entity to participate, at (its,#j$peretze in
the bid and purchasing processes of the other entity; and f�S,
WHEREAS, by entering into this Agreement, the respective public agencies hope to
make the best and most efficient use of public funds by joint purchasing in the hopes of
obtaining the lowest possible price for its purchase, NOW, THEREFORE,
Pursuant to Chapter 39.34 RCW and other provisions of the law, the following named municipal
corporations and political subdivisions of the State of Washington, to -wit, the City of Edmonds,
Washington, a municipal corporation, and Island County, a political subdivision of the State of
Washington, do hereby agree to cooperative government purchasing upon the following terms
and conditions:
1. Joint or Cooperative Bids. The parties, in contracting for the goods and services
for their respective entities, agree to conduct bid and purchase procedures and to enter into
contracts which will permit purchases by the other parties to the extent permitted by law.
2. Governing Law. Each party shall contract for the purchase of goods and services
according to the laws and regulations governing it, as a public corporation or a political
subdivision of the state of Washington. The parties are encouraged to utilize procedures which
comply with the most restrictive law governing any party. Each party accepts responsibility for
compliance of any additional or varying laws and regulations governing purchase by or on behalf
of the public agency in question.
3. Purchases — How Accomplished. Whenever a party has contracted to purchase
goods or services on behalf of itself or of the parties hereto, the other party may purchase goods
and services covered by the contract on the same terms and conditions as the original bidding
party. Such a purchase by a party may be effectuated by a purchase order directed from the party
to the vendor. Each party shall be responsible for the performance of the purchasing agreement
by the vendor and no party accepts responsibility for the payment of the purchase price by any of
the other parties for goods or services to be delivered or rendered to such other party.
4. Reservation of Individual Bid Right. Each party reserves the right to contract
independently for the purchase of any particular class of goods or services, with or without
notice to the other parties.
5. Exclusion of Other Parties. In its sole discretion, each of the parties reserves the
right to exclude the other undersigned public agency or public agencies in general, from any
particular purchasing agreement with or without notice to such party.

6. Cancellation. This Agreement shall continue in full force and effect until
cancelled by any party, which cancellation may be effectuated upon notice to the other party
hereto. Cancellation shall be in writing, addressed as provided in paragraph 7.
7. Notice. Notice of intent to purchase, participation, and/or cancellation of any
type or form shall be directed as follows:

8. No Indemnity or Hold Harmless Provision. The parties shall bear their
respective liabilities and exercise their respective rights in accordance with the laws of the State
of Washington. Nothing herein shall be interpreted to shift responsibility or liability for any
action from one party to another.
9. Warranties. To the extent practical, the parties shall attempt to incorporate
provisions in each purchasing agreement or contract which provides for and properly assigns any
and all warranties available through such process to the other purchasing party or parties.
