Fiber One Optic Cable Agrmt. Add. #21Project Services Addendum #21 to Fiber One Agreement Regarding Buying Existing Fiber Optic Cable Strands And Installation of Fiber Optic Cable for Washington State Department of Transportation This Project Services Addendum to the Fiber One Agreement is made by and among the following parties: the City of Seattle ("Seattle"), a Washington municipal corporation, acting by and through its Department of Information Technology ("Doin; Washington State Department of Transportation ("WSDOT"); King County Transportation ("King County"); City of Edmonds ("Edmonds"); City of Shoreline ("Shoreline"); Snohomish County ("Snohomish"); and University of Washington (UW). In this Addendum, the above named parties may be collectively referred to as "Project Participating Agencies". WHEREAS, Seattle, WSDOT, King County, Edmonds, Shoreline, Snohomish, and UW are Participating Agencies in the Fiber One Agreement; and WHEREAS, acting as Lead Agency, DoIT has existing fiber and will install fiber optic cable, and WSDOT would like to participate in the sharing of a fiber cable; and WHEREAS, DoIT, acting as Lead Agency, is installing a fiber optic cable on behalf of WSDOT; and WHEREAS, the Project Participating Agencies desire to memorialize the scope of the fiber installation, the arrangements for sharing the cost of the fiber installation, and the use of the fiber within the cables; NOW, THEREFORE, the parties hereby agree as follows: 1. Overview of the Project Scope The project scope covers the installation of dedicated fiber communication for future WSDOT highway and tunnel operation applications. 1.1. DoIT will install a 288 strand cable, 48 dedicated to WSDOT, from Aurora Av N & N Roy St to Aurora Av N & N 145th St in an existing innerduct and manholes that the City of Seattle owns. The rest of the strands in the cable will be listed as spare. 1.2. WSDOT will purchase 48 strands in an existing fiber from Aurora Av N & N 145th St (Seattle), through City of Shoreline, to the manhole at Aurora & 238th St (City of Edmonds) per the Fiber One Partnership's General Terms and Conditions, Exhibit A. Aurora Av N from N 145th St (Seattle), through City of Shoreline, to 238th St (City of Edmonds), Exhibit B uses DoIT conduit and manhole to the City of Shoreline Right Of Way at N 145th St. At the City of Shoreline Right Of Way at N 145th St heading north, the conduit and manholes are shared by DoIT and City of Shoreline to the manhole at N 160th St. North of N 160th St the innerduct and manholes are owned by City of Shoreline to the Snohomish County line at 2051h St. North of the Snohomish County line the conduit and manhole is owned by City of Edmonds. Project Budget, Contingency and Cost Sharing Method: The project budget has been set with a not -to -exceed amount of $531,006.40 , (Exhibit C). Cost Sharing of the project engineering, project management costs, the cost of the fiber, other material, and installation may be apportioned per the Fiber One Seattle Fiber Partners General Terms and Conditions, Exhibit A if an agency wants to use this fiber from Roy St. to 238cn 9. Billing: Billing for the WASHINGTON STATE DEPARTMENT OF TRANSPORTATION will be sent to: Office of Information Technology Vendor Payments PO Box 47430 Olympia, WA 98504-7430 WSDOTOITVENDORPAYMENTS@wsdot.wa. ov A courtesy copy of the invoice shall also be provided via email to the WSDOT Network Services Manager identified under Section 2 — Project Contact Information. 10. Contractual Framework and General Terms and Conditions: The Project Participating Agencies on this project adopt the Fiber One Agreement General Terms and Conditions (Exhibit A) for fiber sharing projects as part of this Addendum. The allocation of the existing and new fiber is subject to the same terms and conditions as if the fiber were installed as a shared project and the Participating Agencies accept the applicable Fiber One duties, limitations, and obligations. 11. Special Terms and Conditions: The Seattle Department of Information Technology, as the lead agency, will maintain management and maintenance responsibility for the fiber cables covered under this addendum. All connections or maintenance shall be completed by City of Seattle, Department of Information Technology, or its contractors on a cost -reimbursement basis, plus agreed upon overhead, consistent with the General Terms and Conditions. The underlying agreement explains how costs will be dispersed in section III, Relationship among Participating Agencies and the Lead Agency. 12. Schedule: It is estimated that the project will be completed by the end of December, 2011, or sooner if requested.
