RESOLUTION NO.
1:
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF EDMONDS, WASHINGTON, EXTENDING THE TERMS OF
THE CURRENT FRANCHISE AGREEMENT TO CHAMBERS
CABLE THROUGH AND UNTIL OCTOBER 31, 1990,
PROVIDING FOR A RETROACTIVE FRANCHISE FEE.
WHEREAS, the City of Edmonds, Washington, is currently
engaged in the franchise renewal review process on the
application of Chambers Cable;
WHEREAS, the parties are currently negotiating in good
faith but have been unable to reach agreement prior to expiration
of the franchise; and
WHEREAS, the parties wish to provide for an extension
of the current agreement, subject to retroactive payment as
provided herein of a franchise fee, in the belief that they will
be able to reach agreement with respect to the terms of a
franchise;
THE CITY COUNCIL OF THE CITY OF EDMONDS, WASHINGTON,
HEREBY RESOLVES AS FOLLOWS:
Section 1. The nonexclusive franchise previously
granted to Chambers Cable to maintain and operate a community
antenna television network within the City of Edmonds is hereby
extended to October 31, 1990, under the terms of the franchise
previously granted, provided, however, that by its acceptance of
this extension Chambers Cable agrees to pay to the City upon
execution of a franchise renewal agreement a sum equal to the

franchise fee as negotiated and agreed to by both parties
calculated for the interim period.
Section 2. This extension is granted based upon and in
consideration of the good faith negotiations and efforts of both
parties to reach a fair and binding franchise agreement. This
extension of the franchise agreement may be further extended by
action of the City Council subject to the terms herein
provided. If Council finds that negotiations are at an impasse
or that the public interest would be better served by a
termination of the franchise agreement, it reserves such rights
as it may have in law and equity to so terminate the agreement.
RESOLVED this 25th day of September 1990.
