Interlocal Agreement for Construction and Use of a Central Dispatch Agency within certain Joint-Public Works Shop Facilities5/10/83 AGREEMENT BETWEEN THE CITY OF LYNNWOOD AND THE SOUTHWEST SNOHOMISH COUNTY PUBLIC SAFETY 'Lp� COMMUNICATIONS AGENCY AND ITS INDEPENDENT MEMBERS FOR THE CONSTRUCTION AND USE OF A CENTRAL DISPATCH AGENCY WITHIN CERTAIN JOINT -PUBLIC WORKS SHOP FACILITIES This Agreement made and executed this 4 day of �- L-,�� , 1983, between the City of Lynnwood, a municipal corporation of the State of Washington, hereinafter referred to as "Lynnwood" and the Southwest Snohomish County Public Safety Communications Agency, and its independent members, hereinafter referred to as "SnoCom". WITNESSETH: WHEREAS, SnoCom has been requested to vacate its current temporary central dispatch center and has studied numerous alternatives for the permanent location of its central dispatch center, and WHEREAS, the Cities of Lynnwood and Mountlake Terrace have recently concluded an economic and feasibility study of the construction, and operation out of, a joint -public works shop facility to serve both Lynnwood and Mountlake Terrace, and WHEREAS, at the request of SnoCom, the Cities of Lynnwood and Mountlake Terrace did also consider the feasibility of the inclusion of approximately 2,370 square.feet in the proposed new joint-pmblic works shop facility for SnoCom to serve as their central dispatch center, and WHEREAS, said Economic and Feasibility Study concluded that a new independent facility satisfying SnoCom's central dispatch center requirements on its own property would cost approximately $310,000 and that in combination with the proposed Lynnwood and Mountlake Terrace joint -public works shop facility, provisions equal to those in an independent facility could be constructed at a cost to SnoCom estimated at $261,000, and WHEREAS, the Cities of Lynnwood and Mountlake Terrace have selected a site generally described as follows: All or a part of Lots 5 through 14 inclusive, Echelbarger Industrial Park according to -the Plat thereof recorded -in Volume 42 of Plats, on page 30, records of Snohomish County. for the proposed new joint -public works shop facility, and WHEREAS, the SnoCom Board, established by the Interlocal Agreement establishing SnoCom, has found the proposed site to be acceptable and the provision of facilities within the proposed joint -public works shop facility to be in the best interest of SnoCom, and WHEREAS, Lynnwood and Mountlake Terrace have agreed to include space for SnoCom in the joint -public works shop facility, and WHEREAS, Lynnwood and Mountlake Terrace have entered into an Agreement to proceed with the construction of a joint -public works shop facility, with or without SnoCom, and WHEREAS, said Lynnwood, Mountlake Terrace agreement provides for their joint application for any applicable Federal or State funding for such projects under the so called "jobs programs" legislation, and WHEREAS, said Lynnwood, Mountlake Terrace agreement provides that any such Federal or State grant shall be used to reduce the total cost of the project such that each of the participating agencies, including SnoCom, should they elect to participate, shall share equitably in the grant, and WHEREAS, the Federal "jobs bill" already passed and signed into law demands early construction of projects funded by the bill, and v- c, 5/10/83 Page 2 WHEREAS, SnoCom does not currently have on hand sufficient financial resources to finance their estimated cost of the SnoCom facilities within the proposed joint public works shop facility, and WHEREAS, SnoCom is a unique agency operating by interlocal agreement and consisting of cities, towns, Snohomish County, and districts, thereby not lending itself to the capability of traditional financial bonding methods in its own name, and WHEREAS, Lynnwood currently has sufficient temporary financial resources to advance funds to SnoCom to provide for construction of a new central dispatch center within the joint -public works shop facility, and WHEREAS, Lynnwood mst be assured of the -timely repayment of any funds advanced to SnoCom for construction purposes, and WHEREAS, such assurance can only be provided by agreement from each of the collective member agencies of SnoCom, and WHEREAS, such assurances can be fully committed by ratification of this Agreement by the governing bodies of each of the cities, towns, counties, or districts comprising SnoCom, and WHEREAS, it is expected that the useful life of the joint -public works shop facility will be approximately 40 years. NOW THEREFORE, and in consideration of the promises and the mutual covenants contained herein, the said parties hereby enter into an Agreement as follows: Section 1: Agreement to Construct. Lynnwood agrees to construct within the ,point -pu is works shop aci ity, approximately 2,370 square feet to house the SnoCom central dispatch agency in its entirety complete and ready for move -in by SnoCom, less communications. Section2: SnoCom Facilities. SnoCom facilities shall be as contained in the April 20, 1983 Feasibility Study for the Inclusion of SnoCom as a Part of the Combined Public Works Facility, copy attached herewith as Appendix 2. Physical layout of tfie spaces shall be subject to adjustment upon final design of the facility subject to approval by the SnoCom Board. Any specialized equipment pertaining to SnoCom operations, such as phone lines, alarm equipment, electronic and electrical items, etc. shall be the responsibility of SnoCom to furnish and install. Section 3: Financing by Lynnwood. Lynnwood agrees to finance up to $261,000 representing Snoom s estimated share of the construction costs of the new joint -public works shop facility subject to guaranteed reimbursement by SnoCom under provisions contained herein. Section 4. Terms of Use. SnoCom shall have guaranteed use of the facility or�nimum period of forty (40) years and such additional time as Lynnwood and Mountlake Terrace continue to utilize the facility for its designed purpose, provided, however, it is expressly understood that at any time after the conclusion of the forty (40) year minimum period, Lynnwood and Mountlake Terrace may rebuild the facility, dispose of the facility, or take any other action deemed appropriate at that time, provided, however, that SnoCom be given at least a two year notice of the then current intent of Lynnwood and Mountlake Terrace regarding disposition of the facility and pro- vided further that should Lynnwood and Mountlake Terrace rebuild the facility without SnoCom facilities or dispose of the facility and associated lands, SnoCom shall be reimbursed their equity in accordance with Section 6. below. 5/10/83 Page 3 Section 5. Reimbursement Terms. SnoCom agrees to make payments to Lynnwood in an annual tota amoun o not less than $30,000 payable in equal monthly installments for a sufficient duration to reimburse Lynnwood for financing the SnoCom portion of the facility with such payments to include simple interest of 10% (ten percent) on the declining monthly balance of Lynnwood financing, it being the declared and acknowledged intent of both Lynnwood and SnoCom to make or receive, capital and interest payments in the same amount as would be required under mortgage loan amortization tables at 10% (ten percent) with equal monthly payments; provided hereunder that there is no prohibition against early repayment by SnoCom with attendant interest savings and prorata reduction in annual payments to Lynnwood and provided further that upon completion of payments by SnoCom of equivalent mortage loan financing, all capital payments by SnoCom shall cease. Monthly payments as provided above shall commence 30 days after notification by Lynnwood to SnoCom that the facility is available for occupancy. Section 6. SnoCom Financial E ui V. At such time as Lynnwood and Mountlake lerrace may etermine to rebuild or dispose of the joint -public works facility in accordance with Section 4. above, SnoCom shall be reimbursed for their equity as follows: a. 7% (seven percent) of the then current land and site improvement value as determined by actual sale or based on then current land appraisal; b. A percentage of building value, only if the building is sold, as may be mutually agreed by SnoCom and Lynnwood or as determined by arbitration in accordance with other provisions of this agreement; provided, however, that nothing in this agreement is intended to prohibit building of a replacement facility to include SnoCom under terms and conditions to be determined at that time. Should the facility be sold, at the election of Mountlake Terrace and Lynnwood, the sale proceeds shall be allocated and disbursed to the parties in accordance with each parties' respective pro-rata capital share. Provided, SnoCom's share of the sale proceeds shall first be paid to reduce to Zero --Dollars ($0.00) any and all of its remaining capital costs and interest due -Lynnwood. Subject to the terms and conditions, herein, ownership of the joint -public works facility shall be vested in Lynnwood and Mountlake Terrace. Section 7: Books and Accounts. Lynnwood agrees to provide to SnoCom at the conc�clu'sion of construction a tabulation of the SnoCom share and to provide annually thereafter reports to SnoCom on the status of the balances due Lynnwood. Section 8: Operational and Maintenance Cost. SnoCom agrees to pay the appropriate prorata share of the maintenance an operating costs of the joint facility as contained in Appendix 1, and as billed by the maintenance and operation jurisdiction, Mountlake Terrace. Section 9: Insurance. Lynnwood shall provide or cause to be provided property insurance covering all real property assigned to SnoCom for the perils of "all risks" (as defined by standard policy contracts) excluding earthquake and floods, with $1,000 deductible each occurrence. SnoCom shall provide its own insurance, if desired, for any tenant installations or improvements. Section 10: Term. The term of this agreement shall be forty (40) years to 2c 2-3 Section 11: Termination by SnoCom. SnoCom is free to vacate the premises at any fime p—ro-vMded, however, at in all cases SnoCom will remain liable for any and all of its remaining capital costs and interest due Lynnwood. 5/10/83 Page 4 Section 12: Leasing. SnoCom agrees that none of the spaces provided in the propose joint-pub7ic works facility may be leased or in any other manner occupied by others, without the express written consent of both Lynnwood and Mountlake Terrace. Mountlake Terrace and Lynnwood agree that they shall not lease to any others whose use would be detrimental to the security of and/or reasonable operation of SnoCom. Section 13: Future Amendments or Agreements. Nothing in this Agreement precludes future amendments pertaining to joint -premises pro- vided that it is expressly understood that any such agreement must be acceptable to Mountlake Terrace. Section 14: -Waiver. No waiver of either party of any term or condition of this agreemen small be deemed or construed as a waiver of any other term or condition, nor shall a waiver of any breech be deemed to constitute a waiver of any subsequent breech, whether of the same or a different provision of this agreement. Section 15: Entirety. This agreement constitutes the entire contract between Lynnwood aSnoCom concerning the construction and financing of the joint -public works shop facility. Section 16: Arbitration Clause. In the event that any dispute shall arise as to the meaning of any ot the provisions of this agreement or to the proper appplication thereof and pprovided such dispute cannot be mutually re- solved then.such dispute shall be submitted to a board of three arbitrators, one of whom shall be selected by Lynnwood and one by SnoCom, and the third selected jointly by the first two and the parties hereto agree that any deci- sion of the said board of arbitrators shall be binding upon both parties hereto and that such parties shall abide by the decisions of the said board. Section 17: Time Limit for Execution and Effective Date. In order for Lynnwood and Mountlake terrace to make timely application Tor Federal funds under the so called "jobs bill," recently enacted, it is expressly understood that this agreement must be ratified by sufficient member agencies of SnoCom in sufficient guaranteed amounts of repayment to Lynnwood by June 14, 1983 or such offer to finance by Lynnwood may be withdrawn, at the option of Lynnwood, at any time after said date provided, however, that nothing in this agreement prohibits any member agency of SnoCom, including Lynnwood, from guaranteeing payment to Lynnwood over and above its apportionment as contained in Section 18. below in order to facilitate construction as envisioned in this agreement. The effective date of this agreement is the S7--A. day 1983. Section 18 Ratification. By ratification of this Agreement, each member ofTn-c om accFpts its obligation to Lynnwood based on actual costs as a direct obligation of its agency toward the share of the construction funds advanced by Lynnwood should that member elect to cease membership or should SnoCom cease to exist provided, however, that: 1. The tabulated obligation below may be amended by SnoCom, unilaterally, at any time, to cover additional membership to SnoCom or deletion of membership in SnoCom or a change in appor- tionment between members of SnoCom, provided however, that Lynnwood at all times is guaranteed repayment of all remaining principle and interest due. 2. Nothing herein prohibits any individual agency from paying Lynnwood, through SnoCom, its full apportionment of capital investment at the conclusion of construction or at any time during the capital payment period, thereby relieving that agency of any further capital payment. Any such agency, opting to make such payment, will automatically accrue an equity equal to such capital payment. Provided, should the facilities be sold, each 5/10/83 Page 5 respective SnoCom agency shall be reimbursed all of its respec- tive prepaid capital contribution (principal), subject to Sno- Com's financial obligations to Lynnwood, with any remaining balance (net profits) to be placed in SnoCom's general fund. 3. Energy Water Sewer Solid Waste Building Maintenance - Structure Building Maintenance - Internal Insurance Site Maintenance Covered Storage Maintenance Common Used Equipment Janitorial (if contracted) Telephone service shall be the individual responsibility of each city. Equipment not common to both cities shall be the individual responsi- bility of the city with ownership. Maintenance performed by "in-house" personnel shall be billed, as prorated, to include the direct labor rate times 1.5 to include all fringe benefits and all overhead. CRITERIA The SNOCOM Facility described by this study is based on present needs and those for a projected 20 year growth. The public works facility is sized to the year 2000. The floor plan, site plan and estimate are based on the SNOCOM facility being an integral part of the joint public works facility with shared drives, common walls, and shared site utility Services. The schematic SNOCOM plans were developed from the following: a. SNOCOM Building Committee Report of March 1983. b. lb item list of SNOCOM facilities.frcme City of Lynnwood Agreement to FiT,ancea. c. The Feasibility Study for a joint Public Works Shop for the cities of Lynnwood and Mountlake Terrace by Cook --Newhouse and Associates. d. An on -site meeting and tour of the existing facilities with Mr. Lockheed Reader, SNOCOM, Director and Mr. Bill Nims, City of Lynnwood Public Works Director. e. A letter from Mr. Allan Dillon, City of Lynnwood Fire Chief, representing the SNOCOM FIRE TAC Committee, to Mr. Bill Nims concerning fire protection of the proposed SNOCOM facility. The SNOCOM floor plan, and site plan, are a response to the program requirements e.g. handicapped access, security, joint use, and site grades. Although the final plans might be substantially different, the costs are representative and ,should not change, and will be further evaluated during the design process. Concern was expressed about fire safety especially as SNOCOM was shown above a paint shop and wood shop on the joint use study plans. Reorganization of the joint use offices, shops, locker room, etc. can result in a less hazardous occupancy below SNOCOM. This will be a con- sideration addressed during architectural design development. In addition the estimate assumes a 3 hour floor/ceiling assembly and 4 hour walls. a OUTLINE SPECIFICATION STRUCTURE Exterior walls shall be smooth fipished tilt -up concrete, 4 hour rating. Floor system to be metal trusses with' a gypsum board ceiling at the bottom of the truss and a 3 inch concrete fill on metal decking on top for a 3 hour rated floor/ceiling assembly. Roof system to be 1 1/8" T & G pl between glu-lam beams. wood yon wood purlins at 4' o.c. INTERIOR WALLS (Non -bearing) 1 hour system consisting of 5/8" type "X" gypsum board on metal studs. Where glazing is indicated it will be wire glass. MMUN WALL with "Shop" areas . 4 hour rated, concrete block with plaster finish. FLOORS Carpeted 12" high access "computer" flooring at Dispatch, Supervisor, Equipment, Computer, and Conference rooms. Ceramic tile at restrooms. Office and lounge areas to be carpeted. FINISHES Cei]ings to. be lay-zn ,except-Xbr. jypsm board at the -restrooms. Walls at restrooms' to be ceramic tile. Walls at the Dispatch area to be acoustically treated with fabric covered acoustic insulation board" thick. All other areas to have paint finish. DOORS Exterior doors to be 3 hour rated metal doors. Interior door at the "entrapment" area to be hollow metal with a 9" wide full height bullet resistant observation window. Both doors at the "entrapment" area to have remote operated electric locks. All other interior doors to be hollow metal. OUTLINE SPECIFICATION, continued INSULATION The interior face of exterior walls to have rigid insulation on "Z" studs. Roof ,to have -rigid insulation. HVAC SNOCCM to have an HVAC system independent of the shop areas. The HVAC system to be zoned for independent control of the office areas, equipment room, computer room, and dispatch room. Ducting at the dispatch room to minimize cigarette smoke getting into the consoles. ELECTRICAL The existing emergency generator to have a battery back-up system with transfer switch for uninterruptable power to dispatch equipment and selected lighting. LIGHTING Office "areas" to- have -drop-; 1 i l it fixtures. All other areas to have incandescent fixtures with controlled illumination patterns, "cans". Lighting at Dispatch, Conference, Supervisor, Equipment, and Computer rooms to have dimmers. CABINETS The lounge to have a counter with built-in sink and storage below, and storage cabinets above. The Storage/Work room to have lower and upper storage cabinets with work counters. All shelves to be adjustable. FIRE PROTECTION The dispatch consoles will be provided with a halon fire extinguisher system. SEM GHT The skylight over the Dispatch area will be glazed with 2 lites of wire glass. HANDICAPPED All facilities shall be usable by the handicapped. Restrooms shall have grab bars, accessible lavatories, etc. Doors, corridors, hardware and access will be to wheelchair use standards. i COST SUMMARY GENERAL The cost summary is for a complete building less the SNOCOM equipment, „e.g.:"dispatch consoles, etr.,i-or estimating it Was assumed that SNOCOM was an integral part of the Public Works Facility as indicated on the site plan.
