Interlocal Cooperative Purchasing Agreement with Lynnwood Shoreline and Alderwood Water DistrictINTERGOVERNMENTAL COOPERATIVE PURCHASING AGREEMENT THIS AGREEMENT is entered into this /r day of AIPV. , 19g, between the City of Edmonds ("Edmonds"), the City of Lynnwood ("Lynnwood"), the City of Shoreline ("Shoreline"), and the Alderwood Water District ("District"). RECITALS A. Edmonds, Lynnwood, Shoreline, and District desire to establish, for the benefit of the citizens of their respective jurisdictions, an organized and standard bidding structure charged with the function of securing the best purchase at the best possible price within the limits of all appropriate bidding laws of the State of Washington. B. It would be in the best interests of the citizens of their respective jurisdictions and of mutual benefit to their Wastewater Treatment Facilities if, in some circumstances, the parties to this Agreement would purchase wastewater treatment chemicals ("Treatment Chemicals") through a group bidding process. C. The parties to this Agreement desire to enter into a bidding/purchasing Agreement, for purchase of Treatment Chemicals of mutual need requirements. D. The parties to this Agreement desire to set forth their rights, duties and responsibilities with respect to applicable laws, ordinances, and procedures as established by the parties. E. Each party may elect not to exercise their right under this Agreement every year, but may do so at any time this Agreement remains in effect or is renewed. NOW, THEREFORE, pursuant to Chapter 39.34 RCW and Chapter 35 RCW, Edmonds, Lynnwood, Shoreline, and District agree to cooperative governmental purchasing under the following terms and conditions: AGREEMENT 1. Edmonds, in accepting bids for the purchase of Treatment Chemicals for its own use, agrees to bid such items also on behalf of Lynnwood, Shoreline, and District to the extent permitted by law and agreed upon by the parties. -1- 2. Edmonds will notify Lynnwood, Shoreline and District when bids are received. 3. The parties agree that Edmonds has no liability as far as the fitness for use of the Treatment Chemicals selected. This Agreement is offered to allow the parties the capability to purchase Treatment Chemicals specifically for their use and to take advantage of the prices achieved by joint participation. 4. This Agreement shall continue in force until cancelled by either party, which cancellation may be effectuated with or without notice to the other party. 5. Edmonds shall not be held liable for any charges incurred by Lynnwood, Shoreline, or District under the Agreement for Treatment Chemicals with the Seller.
